Joanna Andrew

Joanna Andrew FAICD is a Partner at Mellor Olsson Lawyers and leads the firm's Governance Advisory practice. She advises boards, directors and senior executives on governance, directors' duties, board effectiveness, organisational structures, constitutional reviews and stakeholder engagement. Joanna regularly undertakes Board and Director performance evaluations and governance structure reviews, helping organisations strengthen decision-making, accountability and oversight.

A highly regarded governance educator, Joanna is a Facilitator for the Australian Institute of Company Directors, delivering programs including The Board's Legal Environment and Achieving Board Effectiveness. In 2026, she was recognised as a Fellow of the Australian Institute of Company Directors (FAICD) in recognition of her significant contribution to governance, leadership and the director community.

Drawing on extensive board and chair experience, Joanna assists organisations to strengthen governance frameworks, improve board performance, navigate complex decision-making environments and manage governance risk with confidence. Her practical, outcomes-focused approach makes her a sought-after adviser, facilitator and trainer for boards across Australia.

Joanna joined Mellor Olsson in 2003 and became a Partner in 2008. She began her career practising predominantly in tort law before developing a specialist focus in governance and board advisory services.

Joanna's current appointments include Independent Chairman of Mutooroo Pastoral Company Pty Ltd and Independent Chairman of South Australian Produce Markets Ltd, where she also serves on the Finance, Audit and Governance Committee. She is a Director of the Hospital Research Foundation Group, and a sitting tribunal member of the National Sports Tribunal and the SANFL Player Payment Investigation Committee.

Her previous governance experience includes Chair positions with Australian Vignerons, Brain Injury South Australia and the Julia Farr Housing Association. She has also served as a Non-Executive Director of Beston Global Foods, the Adelaide Cemeteries Authority, the Adelaide University Business School Advisory Board, the Adelaide and Mount Lofty Ranges Natural Resources Management Board, Uniting Communities and Crime Stoppers SA.
